CLASS ACTION SETTLEMENT AGAINST VICTORIA GOLD CORP.

TORONTO, July 3, 2024 /PRNewswire/ – The Supreme Court of British Columbia has agreed to a settlement between Victoria Gold Corp. (“Victoria Gold”), John McConnellT. Sean Harvey, Michael McInnis, Sean Roosen, Marty RendallOrion Co-VI Ltd., BMO Nesbitt Burns Inc., CIBC World Markets Inc. and PI Financial Corp. and the plaintiff in a class action lawsuit.

Even if you do nothing, your legal rights will remain limited. Please read this notice carefully.

The class action lawsuit has been filed on behalf of all persons and entities, regardless of where they reside or reside, who hold securities of Victoria Gold either:

1. in the secondary offer of Victoria Gold’s The common shares closed on 30 September 2020and held all or part of these securities at 13 November 2020; or
2. on an exchange between July 1, 2020 And 12 November 2020and held all or part of these securities at 13 November 2020.

As part of the agreement Victoria Gold will pay or cause CAD to be paid 925,000 US dollars. Defendants do not admit any wrongdoing or liability on their part, and the Court has not made any findings of wrongdoing or liability with respect to Defendants.

You have two options:

1. Submit an application form:
   Complete an application form online and submit it with the relevant supporting documents by the deadline for applying for compensation. The deadline for submitting the application form is October 31, 2024.
2. Do nothing:
   Waiver of any claim for compensation.
