SUMMARY NOTICE OF PENDING PROCEEDINGS AND PROPOSED CLASS ACTION SETTLEMENT PROVISIONS
TO: ALL PERSONS WHO PURCHASED OR OTHERWISE ACQUIRED NBA TOP SHOT MOMENTS FROM JUNE 15, 2020 TO DECEMBER 27, 2021 INCLUDING
NOTICE IS HEREBY GIVEN that pursuant to an order of the United States District Court for the Southern District of New York, a hearing will be held on September 27, 2024 at 10:00 a.m. before the Honorable Victor Marrero, United States District Judge for the Southern District of New York, 500 Pearl Street, Courtroom 15B, New York, NY 10007, to determine: (1) whether the proposed settlement of the claims in the above-referenced action for consideration, including the amount of $4,000,000 and the business modifications, should be approved by the Court as fair, reasonable and appropriate; (2) whether the proposed plan for distribution of the settlement proceeds is fair, reasonable and appropriate; (3) whether to grant lead counsel’s motion for an award of attorneys’ fees of up to one-third of the settlement amount, plus interest, reimbursement of expenses not to exceed $40,000, and a service payment not to exceed $20,000 in the aggregate to the plaintiffs; and (4) whether to dismiss this action with prejudice pursuant to the Settlement Agreement dated June 3, 2024 (the “Settlement Agreement”). The Court reserves the right to hold the Settlement Fairness Hearing by telephone or other virtual means.
If you purchased or otherwise acquired NBA Top Shot Moments (“Moments”) between June 15, 2020 and December 27, 2021 (both dates inclusive), your rights may be affected by this Settlement, including the release and termination of any claims you may have with respect to your ownership interest in Moments. If you need assistance obtaining a detailed Notice of the pendency and proposed Settlement of a Class Action Lawsuit (“Notice”) and a copy of the Proof of Claim and Release Form (“Claim Form”), you may write, call or contact the Claims Administrator: Dapper Labs, Inc. Unless you submit a written request to exclude, you will be bound by any judgment entered in the action, whether or not you assert a claim.
If you wish to be excluded from the Settlement Class, you must submit a Request for Exclusion to the Claims Adjuster in the manner set forth in the Notice, received no later than August 30, 2024. All Settlement Class members who have not requested exclusion from the Settlement Class will be bound by any judgment entered in the action pursuant to the Settlement Agreement.
Objections to the Settlement, the Schedule of Allocation, or Lead Counsel’s motion for an award of attorneys’ fees and expenses and for compensation to Plaintiffs must be made in the manner set forth in the Detailed Notice and received no later than August 30, 2024, at the following locations:
